1. Platform Nature & Independent Carrier Relationship
TransHola Inc. ("TransHola") provides a proprietary digital platform and algorithmic dispatch infrastructure that connects organizations, travel planners, and event coordinators ("Clients") with certified, independent commercial motor carriers ("Partner Operators").
By accessing the TransHola website, utilizing our quotation tools, executing a charter agreement, or boarding a partner carrier vehicle, you acknowledge and agree to be bound by these Terms of Service.
2. Guaranteed Quotes, Deposits & Billing Terms
TransHola takes pride in eliminating opaque broker markups and predatory post-trip surcharges:
- All-Inclusive Quotations: All quotes issued through our platform encompass estimated mileage, driver duty hours, fuel surcharges, and base tolls. Additional venue-specific parking fees, airport staging permits, or national park entry passes are itemized transparently.
- Reservation Deposit: A deposit (typically 20% to 30% depending on group size and seasonality) is required to lock in vehicle assignment and dispatch staging.
- Final Balance Settlement: Final balances must be cleared no later than fourteen (14) calendar days prior to the primary departure date, unless enterprise credit terms (Net-30) have been pre-approved.
- Corporate & Purchase Order Invoicing: Enterprise and educational clients may qualify for electronic invoicing and corporate billing with appropriate credit references.
3. Cancellation, Rescheduling & Refund Schedules
Because commercial coaches and drivers are scheduled and held exclusively for your group, cancellations incur costs based on the proximity to departure:
Cancellations received at least 30 calendar days before departure are eligible for a complete refund minus administrative processing.
The initial reservation deposit is retained as liquidated damages for vehicle holding; any balance paid beyond deposit is refunded.
Cancellations within 14 days of scheduled departure cannot be refunded, as the carrier has dedicated equipment and crew.
*Peak events (Super Bowl, Formula 1, Olympic/World Cup games, Olympic qualifiers) and multi-bus conferences are subject to tailored event cancellation terms specified in the charter contract.
4. Commercial Insurance & Carrier Compliance
Safety and risk management are paramount. TransHola mandates that every Partner Operator admitted to our dispatch network satisfies rigorous compliance standards:
- Mandatory Commercial Automobile Liability: All partner fleet operators are required to maintain active commercial automobile liability insurance policies that strictly adhere to or exceed statutory limits established by applicable federal and regional transportation authorities (including USDOT/FMCSA in the US, the UAE Roads and Transport Authority (RTA), and relevant European transport governing bodies).
- FMCSA & USDOT Active Status: Continuous automated verification of carrier safety ratings, roadside inspection history, and out-of-service rates.
- Driver Certifications: Commercial Driver's License (CDL) with Passenger (P) endorsements, valid Medical Examiner's Certificates, and mandatory pre-employment and random drug/alcohol screening.
5. Driver Hours of Service (HOS) & Regulatory Safety
Federal Motor Carrier Safety Administration (FMCSA) and international regulations strictly limit commercial driver operating hours to protect passenger safety:
- A single driver may not drive more than 10 consecutive hours following 8 consecutive hours off duty.
- A driver may not remain on duty for more than 15 consecutive hours in any single working shift.
- Trips exceeding these operational thresholds require an itinerary modification, a mandatory overnight layover, or the dispatch of a certified relief/co-driver (additional crew charges apply).
Clients may not pressure, incentivize, or request drivers to violate regulatory hours of service limitations.
6. Passenger Conduct, Vehicle Care & Staging Windows
Clients are responsible for ensuring that all group passengers respect the vehicle, onboard amenities, and chauffeur:
- Prohibited Items: Hazardous materials, open fireworks, illegal substances, and weapons are strictly forbidden onboard. Smoking, vaping, and e-cigarettes are prohibited in all vehicles.
- Alcohol Policy: Consumption of alcoholic beverages is permitted only on select charter classes where pre-cleared in writing and where all passengers are of legal drinking age. A refundable security deposit may be required.
- Excessive Cleaning & Damage Fees: Spills, physical vandalism, or passenger bio-hazards requiring commercial detailing will result in minimum damage assessments starting at $350 plus actual repair costs.
- Timely Boarding: Vehicles stage at the designated pickup location 15–20 minutes prior to departure. Excessive loading delays past the contracted grace period may incur hourly wait-time charges.
7. Delays, Traffic & Force Majeure
Neither TransHola nor our Partner Operators shall be liable for delays, missed connections, or failure to perform resulting from circumstances beyond reasonable operational control, including but not limited to:
Severe weather blizzards, floods, hurricane warnings, sudden highway closures, civil unrest, acts of terrorism, municipal road closures, mechanical failures where prompt replacement dispatch is initiated, or unexpected airport ground-stop delays.
In such scenarios, TransHola's 24/7 Global Dispatch Center activates real-time backup routing, mutual-aid carrier replacement protocols, or flight rescheduling assistance.
8. Governing Law, Arbitration & Severability
These Terms of Service and any charter agreements shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be resolved through binding confidential arbitration administered by JAMS in San Francisco, California, in accordance with its Comprehensive Arbitration Rules.
